Terms of Service

1. Acceptance of Terms
By accessing or using any product or service provided by Gradeum Technologies, LLC (“Gradeum,” “we,” “us,” or “our”), including the Praxis and Civitas platforms, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use our services.
These Terms apply to all users, whether accessing the platform on behalf of an engineering firm, a government agency, or in any other capacity.
2. Description of Services
Gradeum provides a software platform designed for professional engineering firms and government agencies. Our products include:
- Praxis — practice management, document intelligence, and asset tracking for engineering firms.
- Civitas — project oversight, compliance tracking, and document management for government agencies.
The platform includes an on-premise agent that indexes documents locally on your hardware, as well as AI-powered document Q&A, asset management, and practice management capabilities.
3. Account Terms
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. The organization is responsible for all accounts created under its domain.
You must be at least 18 years of age to create an account. You agree to notify us immediately of any unauthorized use of your account.
4. Permitted Use
You agree to use the platform only for lawful purposes and in accordance with these Terms. You may not:
- Use the services to violate any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.
- Reverse-engineer, decompile, or disassemble any part of the software, except as permitted by law.
- Resell, sublicense, or redistribute access to the platform without our written consent.
- Interfere with or disrupt the integrity or performance of the services.
5. Your Data
You own your data. All documents, project files, and other content you upload or create through the platform remain your property. Gradeum does not claim any ownership interest in your data.
You grant us a limited license to host, process, and index your data solely to provide and improve the services you have subscribed to. When the on-premise agent indexes documents, that index is stored locally on your own infrastructure.
Upon termination of your account, you may request an export of your data. We will make your data available for export for a reasonable period following termination.
6. Intellectual Property
The platform, including its design, code, features, and documentation, is the intellectual property of Gradeum Technologies, LLC and is protected by applicable copyright, trademark, and other laws. These Terms do not transfer any ownership of the platform to you.
“Gradeum,” “Praxis,” “Civitas,” and associated logos are trademarks of Gradeum Technologies, LLC. You may not use them without our prior written permission.
7. Payment and Subscriptions
Certain features of the platform require a paid subscription. Fees, billing cycles, and plan details will be described at the time of purchase. Unless otherwise stated, subscriptions renew automatically, and you authorize us to charge your payment method on file.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by law.
8. Disclaimers
The platform is provided “as is” and “as available.” To the fullest extent permitted by law, Gradeum disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI-generated answers and summaries are provided for informational convenience only. They are not a substitute for professional engineering judgment, legal advice, or independent review. You are solely responsible for verifying the accuracy of any output before relying on it in a professional capacity.
9. Limitation of Liability
To the maximum extent permitted by law, Gradeum Technologies, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
Either party may terminate these Terms at any time. You may stop using the platform and close your account through your account settings. We may suspend or terminate your access if you violate these Terms or if continued access poses a risk to the platform or other users.
Upon termination, your right to use the platform ceases immediately. Sections of these Terms that by their nature should survive termination — including data ownership, intellectual property, disclaimers, limitation of liability, and governing law — will remain in effect.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Louisiana, and you consent to the personal jurisdiction of those courts.
12. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the platform at least thirty (30) days before the changes take effect. Your continued use of the platform after the effective date of any update constitutes acceptance of the revised Terms.
We encourage you to review these Terms periodically. The “Effective Date” at the top of this page indicates when these Terms were last revised.
